Please read this document carefully.

01

Owner and Operator

Citra Smart Solutions, a Limited Liability Company (CITRA or the Company), owns and operates its websites, products, platforms, applications, and digital and engineering services. In these Terms, Service means the relevant website, platform, application, product, subscription, or service used by the customer. These Terms constitute a binding agreement between the Company and each user of a Service. The Company's principal office and legal domicile are in Nasr City, Cairo, Egypt.

  • Tas3era is a product and platform owned and operated by the Company and is not a separate legal entity.
  • CITRA ERP is a product and platform owned and operated by the Company and is not a separate legal entity.
  • Each product or service page describes its features, scope, and specific terms. Those specific terms supplement these general Terms unless expressly stated otherwise.
  • No agent, distributor, or partner may bind the Company without its express written authorization.
02

Acceptance and Authority

By creating an account, purchasing, accessing, or using a Service, the user confirms that they have read and understood these Terms and the Privacy Policy and agrees to be legally bound by them. A person acting on behalf of a company or other organization represents that they have the authority to bind that organization. A user who does not agree to these Terms must not use the Service. Any additional, different, or conflicting terms submitted by a user or customer in a purchase order, correspondence, or other document will not bind the Company unless expressly accepted in a written instrument issued by an authorized representative of the Company. Nothing in these Terms limits any mandatory rights that cannot lawfully be waived under applicable law.

03

Order of Documents and Product-Specific Terms

Each product, platform, application, subscription, or service may be subject to product-specific terms, a quotation, an order form, or a written contract. Product- or service-specific terms supplement these general Terms, and these general Terms supplement them. If a direct conflict arises, the specific terms will prevail only to the extent of that conflict and only in relation to the relevant product or service, unless a written contract or accepted order form expressly establishes a different order of precedence. Terms contained in a purchase order, correspondence, or other document issued by a user or customer will not bind the Company unless expressly accepted in a written instrument issued by an authorized representative of the Company.

04

Nature of Products and Services

The Company develops software products and platforms, business solutions, and engineering services for the construction and projects sector. The scope and available functionality of each product or service are determined by its product page and the applicable plan, quotation, order form, or contract.

  • Tas3era: A digital platform that assists with analyzing, classifying, translating, and pricing project items and preparing estimates and decision-support outputs. Depending on the available functionality and plan, it may enable users to upload bills of quantities, organize and analyze items, break them down into cost components, perform quantity takeoff from drawings or DWG files, and view or download outputs. Official website: https://tas3era.com/
  • CITRA ERP: A platform that assists with managing construction and project operations, costs, resources, documents, and reports, according to the modules and functionality included in the applicable plan or agreement. Official website: https://citra-erp.com/
  • The Company may introduce additional products, platforms, applications, or services in the future. Their description, scope, and specific terms will be stated on the relevant page or document.
  • Any feature that is unannounced, under testing or development, or not included in the applicable plan, quotation, order form, or contract does not form part of the purchased Service or constitute a binding commitment by the Company.
05

Official Products, Websites, and Contact Channels

As of the last update to this document, the Company recognizes the products, websites, domains, and public contact channels listed in this section as the official channels approved by the Company. No other website, domain, account, or communication channel is a public official channel of the Company unless announced here.

06

Tas3era Service

Tas3era is a digital platform that assists with analyzing, classifying, translating, and pricing project items and producing decision-support estimates and outputs. It may allow users to upload BOQs, organize and analyze items, break them into cost components where the data permits, perform quantity takeoff from drawings or DWG files when that feature is available, and view or download results according to the transaction or subscription. Unannounced or in-development features are not a binding part of a purchased Service.

07

Estimates and Professional Review

Prices, quantities, analyses, translations, classifications, and outputs generated by Tas3era or a similar tool are estimates based on user-provided data, sources, and assumptions available at the time of processing. They are not a binding quotation, engineering approval, design, professional certification, or guarantee of actual cost or tender outcome. The user or an appropriately qualified professional must review and verify outputs before contractual, execution, or financial reliance.

08

Accounts and Access Security

Users must provide accurate and current information, protect credentials, avoid sharing an account outside the plan’s permitted scope, and promptly notify CITRA of unauthorized use. Organizational customers are responsible for managing their users and permissions. CITRA may verify identity or authority and apply protective measures where a security risk is suspected.

09

Customer Files and Project Content

Ownership of BOQs, specifications, drawings, data, and other uploaded content remains with the user or the relevant rights holder. The user represents that they have the authority and lawful basis to submit and process the content and that it does not breach third-party rights or confidentiality duties. The user grants CITRA a limited, non-exclusive license only as needed to host and process the content, produce outputs, operate and secure the Service, and provide agreed support.

10

Project Confidentiality and Access

CITRA treats project content as customer-confidential content and uses or discloses it only as needed to provide, operate, and secure the Service, with customer authorization, or where required by law. Normal workflows rely on automated processing where practicable. Limited human access may occur at the customer’s support request or for a technical, security, or legal necessity, subject to restricted permissions and appropriate controls.

11

Artificial Intelligence and Automated Processing

Some features may use automated systems and AI to assist with translation, classification, analysis, and extraction. Under Tas3era’s current operating design, the complete original file is not sent to third-party AI model providers; only the parts required for the function may be sent after unnecessary data is minimized where practicable. CITRA does not use project files to build a general training dataset or make them available for third-party training of general-purpose models without a lawful basis and appropriate notice. Automated processing may produce errors, and professional human review remains the user’s responsibility.

12

Plans, Licenses, and Usage Limits

Services are subject to the product, plan, or project limits disclosed at purchase, including users, files, operations, storage, subscription duration, and available features. The user receives a limited, revocable, non-transferable right to use the Service for lawful purposes during the subscription term. Users may not circumvent limits, share licenses, resell access, or consume technical resources in an abnormal or abusive manner.

13

Prices, Taxes, and Payment

Fees, currency, and billing cycle are presented before purchase or in the applicable quotation or contract. Applicable taxes and statutory charges are added where required, and the customer bears bank or conversion charges unless stated otherwise. Payments are handled through an approved payment provider and payment data may be governed by its terms and privacy policy. CITRA may suspend paid services for overdue amounts after appropriate notice.

14

Renewal, Cancellation, and Refunds

Subscription, renewal, cancellation, and refund matters are governed by the commercial terms, payment terms, and policy applicable to each platform or service, as clearly displayed or referenced on the product or pricing page, during subscription or purchase, or in an accepted quotation, order form, or contract. Those specific terms form an integral part of the agreement, supplement these general Terms, and are binding in relation to the relevant platform or service. In the event of a direct conflict, the platform- or service-specific terms will prevail only to the extent of that conflict, without limiting any mandatory rights that cannot lawfully be excluded.

Depending on its nature, the specific terms for each platform or service will identify the subscription period and billing cycle, whether renewal is automatic, any applicable free-trial conditions, usage, file-processing, or artificial-intelligence service charges, the cancellation method, refund rules and exclusions, the expected refund-processing period, and the authorized method or channel for submitting a request. No right to cancellation or refund arises except under the applicable specific terms or mandatory applicable law.

15

Intellectual Property and Marks

All rights in CITRA and its products, including Tas3era and CITRA ERP, and in software, interfaces, designs, databases, data structures, algorithms, methods, content, and trademarks belong to CITRA or its licensors. Users may not copy, reverse engineer, decompile, remove proprietary notices, bulk-extract databases, or create a competing product from protected components, except to the extent applicable law prohibits such restriction.

16

Ownership and Use of Outputs

Subject to payment of applicable fees, the customer may use reports, files, and outputs produced specifically from its content for lawful professional and commercial purposes. The customer retains its rights in input data, and CITRA retains its rights in the software, tools, templates, methods, and pre-existing or generic components used to produce outputs. Receipt of an output does not transfer ownership of the system, databases, or internal methodologies.

17

Acceptable Use

Users must not use the Service unlawfully or fraudulently; submit malicious content or content infringing third-party rights; bypass security or obtain unauthorized access; test vulnerabilities without permission; disrupt the Service; perform unauthorized bulk extraction or scraping; or use the Service to develop a competing product in violation of protected rights. CITRA may apply reasonable technical limits to protect the Service and its users.

18

Third-Party Services and Websites

Some features depend on third-party hosting, AI, payment, communications, infrastructure, or integrations. CITRA does not fully control their availability, and a user’s direct dealings with them may be governed by their own terms and policies. A link or integration does not mean that CITRA guarantees the third party or all of its practices, without limiting CITRA’s responsibility for provider selection and management where imposed by law or contract.

19

Availability, Maintenance, and Changes

CITRA aims to provide stable and secure services but does not guarantee uninterrupted or error-free operation. CITRA may perform maintenance, updates, and changes needed for performance, security, or compliance. If CITRA permanently discontinues a material paid Service before the end of its term, it will provide a reasonable remedy such as an alternative or refund of the unused portion, unless discontinuation results from customer breach or force majeure.

20

Force Majeure

Neither party is liable for delay or non-performance caused by an event beyond its reasonable control, including disasters, widespread communications or power outages, general cyberattacks, government action, conflict, or material failure of an essential provider, provided reasonable mitigation steps are taken and notice is given where practicable.

21

Professional Warranty Disclaimer

The Service and outputs are provided according to the description and features available at the time of use. To the extent permitted by law, CITRA does not warrant that outputs will be entirely error-free, fit for an unstated special purpose, or that a price, quantity, or classification will match an actual or future result. A product does not replace the professional judgment of an engineer, estimator, or management team. CITRA is not responsible for incomplete or inaccurate input data or reliance on outputs without appropriate review.

22

Limitation of Liability

To the extent permitted by law, CITRA is not liable for lost profits, opportunities, reputation, or data, or for indirect or consequential loss arising from a decision made using estimated outputs without appropriate professional review. Except for fraud, gross negligence, or liability that cannot legally be excluded, CITRA’s total liability for a single transaction will not exceed the fees paid for it, and liability relating to a subscription will not exceed the fees paid in the twelve months before the event. Merely making an output available is not interpreted as the user waiving a mandatory legal right.

23

Suspension, Termination, and Effects

CITRA may suspend or terminate access for a material breach, non-payment, unlawful use, security risk, or legal requirement. A reasonable opportunity to cure a remediable breach will be given where appropriate. At subscription end, the right of use ceases and the product’s stated data-export and deletion periods and the Privacy Policy apply. Provisions that by nature should survive remain effective, including intellectual property, accrued fees, confidentiality, liability limits, and dispute provisions.

24

Privacy and Data Protection

Personal data and project files are processed under the Privacy and Data Protection Policy published on CITRA’s website, which forms part of these terms. If CITRA and an organizational customer sign a data-processing agreement, that agreement prevails for covered data in the event of conflict.

25

Governing Law and Disputes

These Terms and any relationship arising from or relating to a Service are governed by the laws of the Arab Republic of Egypt, without limiting any mandatory rights or rules that cannot lawfully be excluded, including applicable consumer and data-protection rights. Before commencing court proceedings, the affected party must notify the Company in writing at legal@citrasmartsolutions.com, describe the nature of the dispute and the requested remedy, and give the Company a reasonable opportunity to review the matter and seek an amicable resolution. If an amicable settlement cannot be reached, the competent Egyptian courts in Cairo will have jurisdiction over the dispute. This procedure does not prevent either party from seeking urgent judicial relief or exercising any right that cannot lawfully be restricted.

26

Changes, Notices, and General Terms

The Company may update these Terms when its products or legal or operational requirements change. The date of the latest update will be published. If a change is material, appropriate notice will be provided, and renewed acceptance will be requested where required by law. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect. A delay by the Company in exercising any right does not constitute a waiver of that right. The customer may not assign the agreement without the Company's prior written consent. The Company may transfer the agreement as part of a reorganization or sale of its business, subject to preserving users' mandatory legal rights.
